NOTICE

102. annual General meeting of the shareholders of our company dated 10.
June 2020 has as regards to 31.12.2019 entitled to a dividend
Share capital in the amount of EUR 68.062.500,– for fiscal year 2019, a
Dividend distribution as follows:

a.)on each share entitled to voting rights preference share of the
Minimum dividend of EUR 0.12 net of 27.5% of capital gains tax.

The distribution of the minimum dividend referred to in lit. a.) is 18. June 2020.

Trading ex-dividend on the stock exchange from 16. June 2020
Record Date (The Record Date, The “Minimum Dividend”): 17. June 2020

a.) under the conditions precedent that
(i)the recommendation of the European Central Bank to refrain from discretionary
Dividend distributions (recommendation of the European Central Bank of 27. March
2020 to dividends paid during the COVID-19 pandemic, and to repeal
the recommendation ECB/2020/1 [EZB/2020/19] 2020/C 102 I/01) on 31.12.2020, or
previously, for Bank für Tirol und Vorarlberg Aktiengesellschaft not more
upright and
(ii)at the time of the occurrence of the foregoing condition precedent is no
by law, a mandatory Distribution is prohibited,

on each dividend-entitled ordinary share payment of a dividend of EUR 0.12
minus 27.5% of capital gains tax.

The distribution of the dividend referred to in lit. b.) on may 20. Bank working day after
