AvalonBay Communities and Equity Residential have finalized an all-stock merger of equals, creating one of the largest multifamily real estate investment trusts (REITs) in the United States. The deal, valued at $69 billion, combines AvalonBay’s 98,271 apartment homes with Equity Residential’s portfolio, forming a $52 billion equity REIT with a pro forma enterprise value of $69 billion. The transaction, expected to close in the second half of 2026, marks a transformative moment for the U.S. Rental housing sector.

Deal Structure and Ownership

Under the terms of the merger, AvalonBay shareholders will receive 2.793 shares of Equity Residential common stock for each AvalonBay share. On a fully diluted basis, AvalonBay shareholders will own approximately 51.2% of the combined company, while Equity Residential shareholders will hold 48.8%. The new entity will operate under a yet-to-be-announced name, with headquarters in both Chicago and Arlington, Virginia. It will maintain dual listings on the New York Stock Exchange (NYSE).
