SEC Review Focuses on License Agreements and Accounting Policies

According to an SEC comment letter dated September 12, 2024, signed by Interim Chief Financial Officer Cam Gallagher, the Division of Corporation Finance Office of Life Sciences reviewed filings submitted by Zentalis Pharmaceuticals, Inc. The federal regulatory agency requested detailed explanations regarding how the biopharmaceutical company applied its revenue recognition policy to specific elements of a license agreement entered into with Immunome, Inc., including specific references to ASC 606 standards.

Regulators also asked the company to clarify its accounting treatment for $4.2 million in excess proceeds received from an April 2022 direct offering to Pfizer. Zentalis treated these funds as a reduction of research and development expenses over the term of the collaboration, a method that prompted the SEC to request confirmation on whether the agreement is being accounted for under ASC 808 guidelines, according to the SEC document.

Corporate Compliance and Expected Responses

The regulatory communication instructs Zentalis management to respond within ten business days from the September 12, 2024 date. The company must provide the requested financial disclosures, draft intended revisions for future filings, or explain why specific comments might not apply to its circumstances.

The SEC letter emphasizes that company management remains ultimately responsible for the accuracy and adequacy of all financial disclosures, regardless of any review or comments issued by federal staff. Division of Corporation Finance officials Ibolya Ignat and Angela Connell were designated as contacts for the inquiry.
