Blockchain.com Group Holdings Inc. is preparing for a potential initial public offering (IPO) later this year, aiming to raise approximately $500 million. The digital asset firm, which has confidentially filed offering materials with the U.S. Securities and Exchange Commission, is targeting a valuation between $4 billion and $6 billion as cryptocurrency markets show signs of renewed stability.
Confidential SEC Filings and Flexible Terms
The company’s move toward the public markets follows three consecutive years of adjusted profitability, according to reporting by Bloomberg. While executives are pitching a $500 million raise, the final terms remain fluid. The firm has signaled a willingness to consider a smaller offering size depending on market conditions at the time of the launch.
This initiative represents a renewed effort for the company, which previously explored a public listing in 2022.
Timing the Bitcoin Rebound
Blockchain.com enters the public sphere as the broader cryptocurrency market experiences a rebound, with Bitcoin recovering 33% since mid-August. This timing is critical, as the company seeks to test institutional appetite following a difficult cycle for retail-facing crypto stocks.
Previous industry entrants, including Gemini Space Station Inc., Bullish, and Etoro Group Ltd., launched their listings near Bitcoin’s record highs. Following the subsequent decline in crypto valuations, shares for those firms, along with BitGo Holdings Inc., saw significant drawdowns ranging from 50% to 80%.
From Explorer Roots to Series E Funding
Founded in 2011 as a Bitcoin blockchain explorer, Blockchain.com has since expanded its operations to include wallet services and exchange infrastructure. To date, the company has secured $537 million in total equity.
Its most recent major capital infusion occurred in 2023, when a $110 million Series E round—led by Kingsway Capital—valued the firm at less than half of its previous $14 billion peak.
Diverging Timelines Across the Sector
The push for liquidity by Blockchain.com highlights a broader trend among infrastructure providers. However, the path to public markets remains inconsistent across the sector.
While firms like Blockchain.com move forward with their filings, other industry participants face extended timelines. Payward Inc., the parent company of Kraken, continues to pursue an IPO, though Bloomberg reports that its debut has encountered delays and may not materialize until 2027.
