Circle CFO Jeremy Fox-Geen to Step Down in December

Circle Internet Group Chief Financial Officer Jeremy Fox-Geen will step down from his post on December 31, concluding a five-year tenure that included guiding the stablecoin issuer through its public offering. CEO and Chairman Jeremy Allaire credited Fox-Geen with playing a key role in building the company, according to a company press release and securities filing.

Circle CFO Jeremy Fox-Geen to Depart in December After Five-Year Tenure

The departure coincides with co-founder P. Sean Neville resigning from Circle’s board effective immediately for personal reasons. TD Cowen analysts reported that Neville’s exit stems from outside commitments involving Catena Lab, an artificial intelligence product company where he serves as CEO and co-founder. Catena Lab recently secured conditional approval for a national trust charter from the Office of the Comptroller of the Currency.

Transition Timeline and Financial Arrangements

Fox-Geen will remain in his role until December 31 or until Circle appoints a successor. According to filings with the Securities and Exchange Commission, he will continue receiving his $500,000 base salary and remains eligible for a 2026 annual incentive award target of 110% of his base pay, while his equity awards continue to vest.

Following his official resignation date, Fox-Geen will receive an aggregate cash payment of $1.05 million distributed in monthly installments over 12 months. He will also receive accelerated vesting of his restricted stock units equivalent to two additional months. Circle has hired an executive search firm to find a permanent replacement.

Financial Growth and Strategic Financing Agreements

During Fox-Geen's tenure, Circle managed cryptocurrency markets and achieved financial milestones. The platform went public in June 2025, raising $1.05 billion at a valuation of approximately $8 billion. For the quarter ended June 30, Circle reported $48 million in net income, marking a $530 million year-over-year increase following its initial public offering.

Alongside the executive departures, Circle announced a new financing agreement with cryptocurrency platform Binance. Binance committed a $100 million equity investment into Circle to support a five-year commercial partnership aimed at expanding the USDC stablecoin into emerging markets.

Market Response and Board Restructuring

TD Cowen analysts, led by Bryan C. Bergin, noted that neither executive departure stems from operational or governance disagreements. The analysts stated they do not anticipate internal disruption from the changes, characterizing Fox-Geen’s extended transition period as an orderly handoff designed to maintain operational continuity for incoming leadership.

With Neville’s departure from the board, Circle reduced its board of directors from eight members to seven.
