PT Kereta Api Indonesia and PT Industri Kereta Api are moving toward a corporate consolidation that will position the state-owned railway operator as the parent company and the rolling stock manufacturer as a subsidiary. Dony Oskaria, Chief Operating Officer of Danantara and Head of the State-Owned Enterprises (SOE) Body, confirmed on September 29, 2026, that the integration process is actively underway and expected to conclude ahead of an initial January 1, 2027 target.
The structural shift forms part of a broader government strategy to revitalize domestic manufacturing and expand public transportation networks centered on rail transit.
Weighed Down by Financial Headwinds
The consolidation arrives as PT Industri Kereta Api faces severe financial headwinds. According to figures outlined by Dony Oskaria, the manufacturer carries a net loss of Rp 677 miliar and unsustain loan obligations totaling Rp 4,7 triliun, leaving the company with negative equity.

Manufacturing Bottlenecks Stifle National Ambitions
Dony noted that the state-owned producer currently lacks the manufacturing capacity required to meet national infrastructure demands. To address these vulnerabilities, the government is preparing a comprehensive turnaround plan that includes capital injections to stabilize the balance sheet and optimize operations.
"The equity is negative, there is an unsustain loan of Rp 4,7 triliun, so everyone can imagine everything is being cleaned up," Dony said, pointing to the necessity of structural remediation before the manufacturer can effectively serve as a primary pillar of the national transit industry.

Planning for the merger officially kicked off on July 21, 2026, during a meeting involving executives from Danantara Asset Management, PT Kereta Api Indonesia, PT Industri Kereta Api, project management teams, and external consultants.
Redefining Roles Under a New Holding Entity
PT Kereta Api Indonesia Director Utama Bobby Rasyidin previously confirmed that the integration stems from a direct directive issued by the Daya Anagata Nusantara Investment Management Agency. Under the finalized corporate architecture, PT Kereta Api Indonesia will operate as the holding company, while PT Industri Kereta Api transitions into a sub-holding entity.
Beating the 2027 Deadline
While official timelines previously targeted completion by early 2027, executive leadership has indicated that consolidation milestones are tracking ahead of schedule, with administrative and structural alignment anticipated before the end of 2026.
