Ellison-Backed Paramount to Acquire Warner Bros. Discovery, Netflix Steps Aside
The battle for Warner Bros. Discovery (WBD) has concluded, with Paramount Global, backed by the financial power of David and Larry Ellison, emerging as the victor. Netflix has withdrawn from its bid, paving the way for a full acquisition of WBD by Paramount Skydance. The deal marks a significant shift in the media landscape, consolidating power under the Ellison-controlled Paramount and raising questions about the future of the combined entertainment empire.
The Deal Details
Paramount Skydance’s offer of $31 per share was deemed a “superior proposal” by Warner Bros. Discovery, triggering a four-business-day window for Netflix to counter. Still, Netflix ultimately declined to increase its all-cash bid of $82.7 billion, stating that matching Paramount Skydance’s offer was no longer financially attractive.
As a result of terminating its agreement with WBD, Netflix will pay a $2.8 billion termination fee. Paramount’s renewed offer includes covering this breakup fee, thanks to the financial backing of Larry Ellison, executive chair of Oracle and father of David Ellison, who acquired Paramount last year through his Skydance Media.
What Paramount Gains
The acquisition encompasses the entirety of Warner Bros. Discovery, including its studios, HBO, streaming services, games and entertainment divisions, and linear television networks such as CNN, TBS, TNT, Discovery, and HGTV.
