StrikePoint Completes Northumberland Gold Project Acquisition in Nevada for $70 Million Upfront
StrikePoint Inc. completed its acquisition of the Northumberland Gold Project in Nevada from subsidiaries of Newmont Corporation, according to an official press release. The company paid $70 million upfront for the past-producing gold deposit, which sits in Nevada’s Walker Lane mineral belt. StrikePoint financed the transaction through a C$190 million bought deal private placement of subscription receipts managed by Canaccord Genuity via its subsidiary 1599042 B.C. Ltd.
Northumberland Property Holds Millions of Gold-Equivalent Ounces
The Northumberland property holds an indicated mineral resource of 2.86 million gold-equivalent ounces alongside an inferred resource of 1.57 million gold-equivalent ounces, based on a resource estimate dated July 31, 2026. Hebert Lopes Oliveira, principal resource geologist at SLR Consulting (Canada) Ltd., prepared the technical estimate. The indicated resource totals 67 million tonnes containing 2.71 million ounces of gold at a grade of 1.26 grams per tonne, plus 11.60 million ounces of silver at 5.38 grams per tonne. The inferred resource consists of 31 million tonnes containing 1.52 million ounces of gold at 1.53 grams per tonne and 4.26 million ounces of silver at 4.28 grams per tonne.
StrikePoint Agrees to Conditional Payments and Tembo Investment
StrikePoint agreed to two additional conditional payments of $25 million each. The first payment becomes due within 120 days of completing a feasibility study, while the second is required within 120 days of reaching specific commercial production targets. During the financing phase, Tembo Capital Holdings IV Guernsey Ltd. purchased 20.3 million subscription receipts, securing a 19.9% stake in the company following conversion. StrikePoint transferred a 0.5% net smelter return royalty on the Northumberland project to a Tembo affiliate for $10 million, with net proceeds directed toward project acquisition, exploration, and development expenses.
Alan Pangbourne Joins Board as TSXV Trading Resumes
Alan Pangbourne joined the StrikePoint board of directors as chairman following the transaction. The company executed a 10-to-1 share consolidation on October 2, 2026, implemented prior to the conversion of the subscription receipts. Trading of the company’s shares on the TSX Venture Exchange, which was paused pending final regulatory approvals, is scheduled to resume around October 8, 2026.
