Virginia Governor Abigail Spanberger will intervene in the Virginia State Corporation Commission review process for NextEra Energy’s proposed USD 66.8 billion acquisition of Dominion Energy, according to filings reported by International Finance. The regulatory proceeding stands as a primary test for the transaction, which would combine two major utilities amid surging electricity demand from energy-intensive data centers.

Regulatory Intervention and Governor Spanberger’s Role

Governor Spanberger plans to become a formal party before the Virginia State Corporation Commission to gain direct access to filings concerning the merger, according to International Finance. The governor stated that current company commitments regarding electric bill affordability, job protections, and clean-energy investments remain insufficient. Entering the case as a party gives her the authority to raise questions, scrutinize transaction details, and evaluate potential legal actions after regulators issue a final decision. While acknowledging the unprecedented nature of a governor formally intervening in such a utility case, Spanberger emphasized that the legal authority to approve or deny the application rests entirely with the state commission.

Scale of the NextEra-Dominion Transaction

The proposed combination between NextEra Energy and Dominion Energy would form one of the largest electric utilities in the world, creating the third-biggest American energy company behind Exxon and Chevron, as reported by International Finance. The merged corporate entity would possess an enterprise value exceeding the combined value of the next two largest domestic power companies. The application faces separate scrutiny from American Senator Angus King, who argued that the merger would concentrate excessive market power within a single corporate entity, according to International Finance.

Data Center Demand and Financial Performance

NextEra Energy reported strong financial results driven by rising electricity consumption from data centers and technology companies expanding their power infrastructure. Florida Power & Light (FPL), NextEra’s regulated utility, recorded a 10.2% increase in quarterly net income, reaching USD 1.41 billion, according to International Finance. FPL maintains a pipeline of approximately 21 GW of hyperscaler opportunities, including nearly 12 GW under advanced negotiations, and expects to execute at least one agreement under its large-load tariff by the end of 2026. Meanwhile, NextEra Energy Resources reported a net income of USD 1.63 billion, representing a 66.2% increase, and added 3.6 GW of storage projects to lift its backlog to roughly 35.1 GW.
