Grünenthal Acquires Stivarga from Bayer for up to €375 Million

German pharmaceutical company Grünenthal has agreed to acquire Stivarga (regorafenib), an oral targeted therapy for advanced cancers, from Bayer AG in a transaction valued at up to €375 million. According to Grünenthal’s corporate announcement, the deal is expected to close by late 2026 or early 2027, pending standard regulatory clearances.

Acquisition Terms and Financial Outlook

Under the terms of the agreement, Grünenthal will take over Stivarga. According to company projections issued by Grünenthal, the medicine could generate up to €100 million in consolidated EBITDA for the fiscal year ending December 31, 2027, assuming a full-year consolidation starting in early 2027. The financial model incorporates anticipated patent expirations in the European Union by 2029 and in the United States by 2030.

Grünenthal Chief Executive Officer Gabriel Baertschi stated that the acquisition aligns with the firm’s disciplined mergers and acquisitions strategy. According to Baertschi, the transaction is immediately earnings-accretive and leverages the company’s existing commercial and operational expertise to maximize the long-term value of the medicine.

Indications and Clinical Profile for Stivarga

Stivarga is an oral multikinase inhibitor approved in more than 90 countries and administered to over one million patients worldwide, according to corporate disclosures. The therapy is clinically indicated for specific advanced cancers where standard treatments have failed or are no longer viable. These indications include:

  • Metastatic colorectal cancer
  • Gastrointestinal stromal tumors (GIST)
  • Hepatocellular carcinoma (liver cancer)

According to the company’s financial history, the firm has invested approximately 2,6 milliards d’euros in targeted acquisitions since 2017. Previous transactions include securing the global rights to Nebido, the European rights to Crestor and Nexium, and the purchase of U.S.-based Valinor Pharma in 2024.

Headquartered in Aachen, Germany, Grünenthal maintains operations across 28 countries in Europe, Latin America, and the United States, with products available in roughly 100 nations. The company reported a workforce of approximately 4,100 employees and revenues of €1.8 billion.
