Colt CZ group Strengthens Ammunition Supply Chain with Synthesia Nitrocellulose Acquisition

Colt CZ Group SE has finalized its acquisition of a majority stake in Synthesia Nitrocellulose, a key producer of nitrocellulose, a critical component in gunpowder production. The deal, completed on January 6, 2026, positions Colt CZ to bolster its supply chain resilience and expand its capabilities in medium- and large-caliber ammunition [1].
Transaction Details
Colt CZ Group acquired a 51 percent stake in both Synthesia Nitrocellulose and the energy division, Synthesia Power, from Karel Pražák’s Kaprain group for a total of 10 billion Czech crowns.This was comprised of 5.5 billion crowns in cash and 4.5 billion crowns in new ordinary shares of Colt CZ Group [2]. The remaining 49 percent stake in both companies can be acquired by Colt CZ group under pre-agreed terms in the medium term.
As part of the agreement, Kaprain group now holds a 9.86 percent share in Colt CZ Group, becoming its third-largest shareholder [2].
Strategic Implications
nitrocellulose is a foundational material in the production of gunpowder and, consequently, ammunition. With global supply chains facing increasing pressures, securing access to this critical raw material is a strategic imperative for ammunition manufacturers. Colt CZ’s acquisition of Synthesia Nitrocellulose directly addresses this need, enhancing the company’s control over its supply chain and reducing its vulnerability to external disruptions.
According to Colt CZ CEO Radek Musil, the integration of Synthesia Nitrocellulose will also “create space for further development of technologies and products in the segment of medium-caliber and large-caliber ammunition” [1].
Synthesia Nitrocellulose and Kaprain’s Future Role
Synthesia Nitrocellulose was established in December 2024 as a spin-off from Synthesia, a leading European producer of energetic nitrocellulose [3]. Jan Kadaník, director of Kaprain’s chemical division and chairman of Synthesia’s board, anticipates further expansion through a strengthened partnership with Colt CZ, exploring opportunities within the entire value chain through both organic growth and potential mergers and acquisitions [1].
