Court Authorizes $110 Billion Merger of Paramount and Warner Bros.

A U.S. court has authorized the $110 billion merger between Paramount and Warner Bros. Discovery, clearing the path for the formation of a new global media entity that will operate under the Skydance name.

Skydance Corporation Integrates Legacy Media Assets

The combined company will officially change its legal name to Skydance Corporation on October 6. According to the company’s official corporate disclosures, the new entity will integrate a vast array of assets, including Paramount Pictures, CBS, CNN, HBO Max, and the Paramount+ streaming service.

By adopting the Skydance name, David Ellison aims to maintain the distinct identities of the legacy brands while unifying the portfolio under a single corporate umbrella. The company’s catalog will house major intellectual properties, including the Mission: Impossible and Harry Potter franchises, as well as extensive television networks such as Nickelodeon, MTV, and TNT Sports.

Financial Restructuring and Leadership Shifts

The transition involves significant financial and administrative adjustments. The new leadership team will feature Ynon Kreiz as co-CEO alongside David Ellison, who will retain primary oversight of creative direction and long-term strategy.

The executive team faces the task of managing approximately $80 billion in combined debt. To offset this, the company has targeted $6 billion in cost savings. As part of the transition, the company’s Class B shares are scheduled to move from the Nasdaq to the New York Stock Exchange on October 6, where they will trade under the ticker symbol "SKYD," replacing the previous "PSKY" designation.

Court Approves Settlement with 12 U.S. States

The court’s approval followed a settlement reached on September 21 with a coalition of 12 U.S. states, led by California. These states had previously challenged the merger, alleging that the consolidation could lead to increased pricing for film and television content. The agreement effectively removed the regulatory hurdles that had stalled the deal for several months.
