Tesla and SpaceX Form Special Committees to Weigh Merger
Tesla and SpaceX are officially weighing a merger to combine their operations in artificial intelligence, semiconductors, and satellite communications, according to a report. Elon Musk, who serves as chief executive officer for both companies, revealed during a SpaceX conference call that independent special committees have been established under each corporate board to evaluate the proposal.
The potential consolidation aims to address the looming arrival of superintelligence by merging the technological assets of both firms. Musk described the decision to explore a merger as a delicate undertaking, comparing the evaluation process to dancing on a landmine, while still expressing confidence in the operational synergies between the two companies.
Tesla and SpaceX Tie-Up Faces Governance Hurdles
The proposed tie-up would link several high-value business units, including Tesla’s TerraFab semiconductor production facilities and robotics programs with SpaceX’s Starlink satellite internet service. Because Musk holds the CEO position at both corporations, he recused himself from the merger discussions to avoid conflicts of interest, characterizing his exclusion from the deliberations as a strange kabuki dance.
Securing approval for the combination remains uncertain and depends heavily on shareholder backing. Musk noted that any transaction at Tesla requires an exceptionally high threshold, needing support from more than 50 percent of all total shares outstanding rather than just a majority of votes cast at a meeting. He cautioned that market assumptions treating the merger as a foregone conclusion are vastly overstated.
Financial projections for SpaceX’s artificial intelligence division highlight rapid growth expectations, with annual recurring revenue projected to reach between $100 billion and $1 trillion by the end of next year, climbing from $7.56 billion in the third quarter. Meanwhile, the Starlink satellite communications division anticipates generating billions in annual telecommunications revenue as scale accelerates.

Starship Flight Tests and Expansion Timelines
Construction plans for the new Starbase Louisiana launch site target a first launch window in 2029, though internal company schedules aim for a more aggressive 2028 target. Musk dismissed concerns regarding heavy capital expenditure demands for artificial intelligence infrastructure, asserting that SpaceX maintains capital efficiency superior to virtually any peer in the global market.
