Golfzon Holdings Opposes MBK Partners Sale of Golfzon County to The Siena Group
Golfzon Holdings announced legal action on Dec. 28 to block private equity firm MBK Partners from selling its stake in South Korea’s largest golf course operator, Golfzon County, to The Siena Group.
Terms of the 1.8 Trillion-Won Transaction
The Siena Consortium signed a stock purchase agreement on Dec. 27 to acquire full control of Golfzon County, valuing the company at approximately 1.8 trillion won. MBK Partners holds a 68.4% stake in Golfzon County through a special-purpose vehicle, with Golfzon Holdings owning the remaining shares. Operating a network of 22 courses and 478 holes across South Korea as of August, Golfzon County becomes fully integrated under the new buyer as MBK exercises its tag-along and drag-along provisions after eight years as the majority owner.
Disputes Over Corporate Governance and IPO Plans
Golfzon Holdings stated that MBK’s unilateral sale breaches initial investment understandings focused on taking Golfzon County public. The minority shareholder claims it accepted MBK’s initial 2018 investment—which grew through four capital increases—under the explicit condition that an initial public offering would secure long-term stability and protect Golfzon Holdings’ management rights during the eventual exit. Golfzon Holdings also cited unaddressed grievances regarding low-rent lease agreements for four of its own golf courses, which it maintained without security deposits to support Golfzon County’s early expansion. Golfzon Holdings emphasized in a statement on Dec. 28: For the development of the domestic golf course industry and the continued growth of Golfzon County, we have pursued the initial public offering of Golfzon County in cooperation with MBK. We accepted MBK Partners’ investment under the premise that MBK would successfully complete the IPO of Golfzon County and guarantee Golfzon Holdings’ management rights in the future investment recovery (exit) process.
Legal Challenges and Market Precedents
Industry observers link the current impasse to prior controversies surrounding MBK Partners, including Homeplus asset sales and leaseback arrangements alongside disputes involving Korea Zinc. Golfzon Holdings stated that MBK ignored repeated requests to address unfair lease terms and pushed ahead with the sale despite demands to prioritize the IPO process. The company confirmed it will pursue all available legal avenues to protect its corporate rights and challenge the transaction terms, stating in its statement: We cannot agree to MBK Partners’ unilateral push to sell Golfzon County, which runs counter to the original purpose of investment and cooperation. To protect our legitimate rights and interests and management rights, and to correct unfair contract conditions, we will take all available measures, including legal action.
