Pertamina Subsidiaries Merger: Non-Oil Business Released

Three Pertamina subsidiaries, PT Pertamina Patra Niaga (PPN), PT Kilang Pertamina Internasional (KPI), and PT Pertamina International Shipping (PIS) merged into one Downstream Subholding entity.

The Merger process began on February 1 2026, and is expected to be completely completed in October. After that, Downstream Subholding can determine the company’s board of directors.

“They are working on a consolidation process, consolidating a business is not easy, it takes time. So in October, that means they will need 10 months to carry out the consolidation process,” said Dony in the CNBC Indonesia Economic Outlook 2026 event, Central Jakarta, Tuesday (10/2/2026).

At the same time, Pertamina will also release business units that are not included in the oil and gas (oil and gas) sector. For example, Pertamina’s business in the aviation, hotel and insurance sectors will be released throughout 2026.

“So, in parallel for one year, we are carrying out this consolidation process. So starting from the closest ones, it must be DHC, hospitals, hotels, then airlines, insurance again first, then other businesses,” explained Dony.

“So Pertamina’s focus is relatively only on oil and gas, non-oil and gas is no longer at Pertamina,” continued Dony.

In this way, Pertamina will focus on running its core business, namely oil and gas. Likewise, BUMN in other sectors will focus on their respective businesses in the future.

“So, in the future, our state-owned company will be good, our own hospital, we will change the business model to be better, more appropriate, our own hotel, our own insurance, our own oil and gas, our own airline,” explained Dony.
