berlin, November 28, 2025 – The Management Board and Supervisory Board of PSI Software SE (“PSI”) have published their joint reasoned statement regarding the voluntary public takeover offer from Zest Bidco GmbH (“Bidder”), a holding company indirectly controlled by funds managed by Warburg Pincus LLC (“Warburg Pincus”), to PSI shareholders.

Following a careful and independent review of the offer document published on November 17, 2025, both boards recommend shareholders accept the offer.
