After a protracted legal battle, Tesla CEO Elon Musk has received a significant victory with the Delaware Supreme Court upholding his 2018 compensation package. The ruling restores a remuneration package currently valued at $139 billion (approximately €119 billion), which had previously been invalidated following a challenge by a Tesla shareholder. The lawsuit alleged that the package was excessive and unfairly benefited Musk.

the court’s decision effectively reverses a January 2024 ruling by a delaware judge that had rescinded the package. This prior ruling stemmed from concerns over the board’s independence and the fairness of the negotiation process at the time of the package’s approval.

With the reinstatement of the 2018 package, Musk’s overall fortune has increased to an estimated $749 billion (roughly €640 billion), further solidifying his position as one of the world’s wealthiest individuals. the ruling is expected to have significant implications for corporate governance and executive compensation practices.

the legal challenge was brought by shareholder Richard Tornetta, who argued that the package was a waste of corporate funds. The Delaware Supreme Court, however, found that the shareholder had not demonstrated that the board had acted improperly or that the package was unfair to Tesla.
