**VEON Ltd. Announces Delisting From Euronext Amsterdam, Consolidating Trading on Nasdaq**
Amsterdam and Dubai, 21 October 2024: VEON Ltd. (Nasdaq: VEON; Euronext Amsterdam: VEON), a global digital operator, announced today that it will be delisting its common shares from trading on Euronext Amsterdam. The decision follows approval from Euronext Amsterdam, and VEON’s last trading day on Euronext Amsterdam will be 22 November 2024. The delisting will become effective on 25 November 2024.
**Focus Shifting to Nasdaq Listing**
After the delisting, VEON’s shares will trade exclusively on Nasdaq, consolidating trading under ticker symbol VEON. American Depositary Shares (ADSs), representing 25 Common Shares, will continue to be listed on Nasdaq. This move aligns with VEON’s strategic goals, aiming to strengthen liquidity and simplify reporting processes.
**Strengthening Investor Relations and Global Presence**
“Our decision to consolidate trading on Nasdaq aligns with our long-term strategy and the best interests of our investors. This move will strengthen VEON’s liquidity and simplify our reporting processes,” said Kaan Terzioglu, VEON Group CEO. “VEON’s continued listing on Nasdaq, combined with our recently announced plan to relocate our headquarters, which will make us the largest Nasdaq-listed company headquartered in Dubai, underscores our strategic commitment to lead the way for investors seeking growth in frontier markets.”
**Smooth Transition for Euronext Amsterdam Shareholders**
VEON is committed to ensuring a smooth transition for Euronext Amsterdam shareholders. Before the Last Trading Date, shareholders can sell or purchase Common Shares to ensure they hold a multiple of 25, allowing for the issuance of corresponding ADSs. Shareholders can also deposit their Common Shares with The Bank of New York Mellon, VEON’s depositary, in exchange for ADSs. Those depositing shares during a specific period will receive reimbursement for ADS issuance fees.
**Existing ADS Holders Unaffected**
Existing holders of ADSs who do not also hold Common Shares on Euronext Amsterdam do not need to take any action regarding the Euronext Amsterdam Delisting.
