RoboAI announced plans to hold a special meeting of shareholders on September 22 to vote on expanding its authorized capital tenfold, shifting the company’s financial structure amid ongoing developments in its technology and digital asset platforms, according to an official corporate filing.
The Dubai-headquartered technology group, traded publicly on Nasdaq, scheduled the extraordinary general meeting for 4:30 p.m. local time at the Meydan Grandstand in Nad Al Sheba, Dubai. According to the company’s announcement, shareholders of record as of the September 23 close of business can participate and cast votes online through the designated proxy platform at proxydocs.com/AIIO.
Capital Structure Expansion and Voting Rights
The primary agenda item asks shareholders to approve an increase in RoboAI’s authorized capital from $40만 달러에서 $400만 달러로 (or rather: from 40만 달러에서 400만 달러로 / from $400,000 to $4,000,000). Under the proposed changes, Class A common stock authorizations would expand from 2,500만 주에서 2억5,000만 주 (2,500만 주) to 2억5,000만 주, while Class B common stock authorizations would grow from 1억7,500만 주에서 17억5,000만 주 (1억7,500만 주) shares to 17억5,000만 주 shares, according to company disclosures. The par value for the shares remains unchanged at $0.002.
Voting power is split unevenly between the two classes. Class A shares carry 25 votes per share, whereas Class B shares carry one vote per share. This discrepancy means that changes to authorized capital could significantly alter the balance of voting control depending on how the newly authorized shares are eventually issued and distributed.
Proposed Sixth Amended and Restated Memorandum
Alongside the capital expansion, shareholders will vote on a special resolution to adopt the company’s sixth amended and restated memorandum and articles of association. According to the corporate filing, this adoption could modify and supersede all existing rights attached to Class A and Class B common stock.
The meeting agenda also includes authorization for a designated company director to execute all necessary documents and filings with the Cayman Islands Registrar of Companies to enact the new articles. RoboAI has urged investors to review the complete regulatory documentation submitted to the U.S. Securities and Exchange Commission before casting their votes.
Corporate Background and Platform Structure
RoboAI operates four core business pillars spanning artificial intelligence, robotics, smart mobility, advanced manufacturing, and digital assets. Through its Alrif Holdings industrial group, the company develops and integrates AI systems for government and public sector clients. Additional operations run through subsidiary Neurovia AI, focusing on visual data infrastructure, and Quantum Core Capital, an AI-focused venture building platform.
While the proposed tenfold capital expansion signals potential for large-scale future fundraising, market analysts note that the immediate impact remains limited because actual share issuance timing and sizing are not yet determined. The upcoming shareholder vote will establish whether the proposed governance and structural amendments move forward.
